After the approval of the Articles of Organization, the state will send you a Notice of Arizona LLC Formation form, which should be submitted to the newspaper within 60 days. This document is easy to fill out. You need to enter the basic information like:

  • The LLC name;
  • The name and address of the statutory agent;
  • The address of the LLC principal place of business if different from the street address of statutory agent;
  • Either:

“Management of the limited liability company is vested in (a) manager/managers”
or
Management of the limited liability company is reserved to the members.”

  • Membership or manager information.

Along with the Notice of LLC Formation, you should send a check for publication costs, which vary depending on the newspaper you choose. Usually, the fees range from $60 to $120.

Please note that the newspaper for your Notice of LLC Formation has to be local, i.e. published in the same county of your principal office. And the publication is required once a week for three consecutive weeks.

Once the advertisement is published, the newspaper will provide you with an Affidavit of Publication as proof. Its copy had to be filed with the Arizona Corporation Commission in the past, but that requirement has been eliminated now. Just keep the Affidavit of Publication with your other LLC paperwork and you can operate in Arizona without fear of any problems in the future.

Nevertheless, if you wish, you can add your Affidavit of Publication to the Arizona Corporation Commission’s database. It is free and may be convenient in case you want the proof of your LLC’s compliance to be kept in the state’s records.

It usually takes one to two months for your Affidavit of Publication to be added to the Arizona Corporation Commission database.

What Happens if You Don’t Complete the Publication Requirement In Arizona?

The LLCs failing to complete the publication requirement in a timely manner are subject to Arizona’s penalties and may be involuntarily dissolved.

At the end of the 60-day period, the Arizona Corporation Commission will notify the company of the beginning of a 30-day period to remedy the violation. If the owner fails to do so, the state has the right to close the business.

Trying to conduct business in Arizona after an LLC is administratively dissolved will lead to legal difficulties, therefore, it is important to comply with all legal requirements in a timely manner.
